OK-- I'll try. How much income is generated is not the issue. Think
outside of breeding associations and only think in terms of not for profit. The
Bill and Melinda Gates Foundation has boat loads of money, they have not
created a for profit business arm because HOW they generate funds lines up well
with their not for profit status. They could generate another boat load or two
of income in '09 or none at all, but how they generate any income is the key.
Again not the amount. When a NFP operates in a way that generates funds
that do not line up with their NPF status (in the opinion of counsel) those
activities get moved out of the NFP entity and into a for profit one.
In the opinion of counsel to AOBA, some of their income generating
activities do not line up with their NFP status and the advise was to move them to a
for profit entity. Simple as that. Do I think the new for profit entity was
setup with full member knowledge and involvement? Absolutely not. IMO, of
all the activities, plans, policies and procedures put in place by the AOBA
BODs over the years, setting up this for profit entity in the manner in which
it was done, was at best the most improper activity ever undertaken.

Elden,
We have been fed that line since this ALC was created. Yet, many
other animal breeding organisations and agricultural organisations
have publications that generate income for the non-profit orgs, yet
they have no need to create for-profit companies to channel funds.
Maybe when that issue is answered, this will be put to bed.
